Authenticx Partner SPIFF: Terms and Conditions  

This Channel Partner SPIFF promotion will be effective October 1, 2026 (“Promotion”) through March 31, 2027, and is available to a Channel Partner (as defined herein) who is party to a partner, referral, reseller, or other written agreement (“Channel Partner Agreement”) with Authenticx, Inc. or its affiliates (collectively, “Authenticx” or “Company”). 

The following terms and conditions shall apply to this Promotion: 

EFFECTIVE DATE: October 1, 2026 through March 31, 2027 

1. Promotion Overview 

The term of the Partner SPIFF Promotion begins October 1, 2026 and shall continue through March 31, 2027 (the “Promotional Period”). This Promotion is open to Authenticx Channel Partners who close qualifying new customer opportunities within the Promotional Period, subject to the eligibility requirements, deal registration obligations, and other conditions set forth in these Terms and Conditions. 

All capitalized terms used but not defined in this Section shall have the meanings ascribed to them elsewhere in these Terms and Conditions or in the applicable Channel Partner Agreement. 

2. Eligibility and Qualifying Criteria 

To be eligible for this SPIFF, the closed opportunity must involve a new customer that has not had an active contract with Authenticx (or any Authenticx affiliate) within the twelve (12) months preceding the date of contract execution. Renewals, upsell or expansion activity on an existing account, and contracts with affiliates or subsidiaries of existing Authenticx customers do not qualify. 

The new customer contract must have a minimum term of twelve (12) months to qualify for this Promotion. 

For purposes of this Promotion, an opportunity is deemed “closed” upon full execution of a binding customer contract between Authenticx and the new customer. 

To be eligible for a SPIFF payout, the Channel Partner must register the opportunity with Authenticx through the Company’s designated deal registration process prior to, or no later than five (5) business days after, submission of a customer proposal. In the event more than one Channel Partner claims credit for the same customer, Authenticx will award the SPIFF to the first Channel Partner to have registered the opportunity, unless Authenticx determines in its reasonable discretion that a different attribution is appropriate. 

3. SPIFF Payout Structure 

Partners will earn a SPIFF based on the Monthly Recurring Revenue (“MRR”) of the closed opportunity, exclusive of taxes and fees, according to the following tiers: 

  • 1.5x MRR for closed opportunities with MRR between $8,000 and $19,999. 

  • 2x MRR for closed opportunities with MRR of $20,000 or more. 

Partners who close a qualifying opportunity by December 31, 2026 are eligible for a one-time bonus of $10,000, payable in addition to the earned SPIFF. 

Partners are eligible for one payout per customer contract under this Promotion during the Promotional Period. 

The maximum payout under this Promotion will not exceed $100,000 USD per contract. 

4. Payment Terms and Verification 

SPIFF payouts (including any early-close bonus) will be paid within forty-five (45) days following the later of (a) full execution of the qualifying customer contract, and (b) Authenticx’s receipt of the customer’s first monthly payment under that contract. 

Authenticx reserves the right to verify eligibility and deny bonuses for submissions that do not meet the program criteria described herein. 

5. Relationship to Channel Partner Agreement 

SPIFF payouts under this Promotion are in addition to, and not in lieu of, any commissions, referral fees, or other compensation payable to the Channel Partner under the Channel Partner Agreement, unless the Channel Partner Agreement expressly provides otherwise. In the event of any conflict between the terms of this Promotion and the terms of the Channel Partner Agreement with respect to compensation for a qualifying opportunity, the Channel Partner Agreement shall control. Nothing in this Promotion shall be construed to amend, modify, or supersede any provision of the Channel Partner Agreement, nor shall participation in this Promotion create any rights or obligations beyond those expressly set forth herein. 

6. Clawback 

If a qualifying customer terminates its contract with Authenticx, or materially defaults on its payment obligations, within one hundred eighty (180) days following contract execution, Authenticx reserves the right to recoup the SPIFF payout (including any early-close bonus) in full. Authenticx may, at its option, offset any amounts owed to the Channel Partner under this Promotion or under the Channel Partner Agreement against any recoupment amounts due. 

7. Tax Obligations 

Channel Partner acknowledges that SPIFF payouts received under this Promotion may constitute taxable income. Authenticx may report such payments to applicable tax authorities as required by law, including, where applicable, the issuance of IRS Form 1099 or any successor form. Channel Partner is solely responsible for the payment of all federal, state, local, and foreign taxes (including income taxes, self-employment taxes, and any related interest or penalties) arising from or attributable to payments received under this Promotion. Authenticx shall have no liability for any tax obligations of the Channel Partner in connection with this Promotion. 

8. Modification and Cancellation 

Authenticx reserves the right, in its sole discretion, to change or modify these terms and conditions and/or cancel the Promotion entirely upon fifteen (15) days’ prior written notice to participating Channel Partners. Any qualifying opportunity that has been registered through the deal registration process prior to the effective date of such change or cancellation will remain eligible for payout under the terms in effect at the time of registration.
